Historiquement, ces phases dans les fusions manquent d\u2019outils facilitant la prise de d\u00e9cision<a href=\"#_ftn2\" name=\"_ftnref2\">[2]<\/a>. \u00c0 travers une \u00e9tude de cas d\u2019une entreprise fran\u00e7aise, l\u2019article analyse comment l&rsquo;IA, notamment les outils non g\u00e9n\u00e9ratifs et g\u00e9n\u00e9ratifs<a href=\"#_ftn3\" name=\"_ftnref3\">[3]<\/a>, peut rationaliser la phase de n\u00e9gociation. L\u2019objectif est de montrer que l&rsquo;IA pourrait non seulement acc\u00e9l\u00e9rer ces processus, mais aussi r\u00e9v\u00e9ler les facteurs bloquants qui emp\u00eachent la finalisation des acquisitions, en particulier dans le cadre de la croissance externe des PME.<\/p>\n<p style=\"text-align: justify;\">L\u2019\u00e9tude se base sur plusieurs entretiens r\u00e9alis\u00e9s avec les fondateurs du Groupe Impact, l\u2019entit\u00e9 acqu\u00e9reuse dans l&rsquo;\u00e9tude de cas. En plus des entretiens, le chercheur a eu acc\u00e8s \u00e0 la salle de donn\u00e9es de n\u00e9gociation, comprenant des documents financiers et de pr\u00e9sentation, afin d\u2019analyser en d\u00e9tail les phases o\u00f9 l\u2019IA a \u00e9t\u00e9 utilis\u00e9e.<\/p>\n<ol style=\"text-align: justify;\">\n<li><strong>Le r\u00f4le de l&rsquo;IA dans le processus de M&amp;A<\/strong><\/li>\n<\/ol>\n<p style=\"text-align: justify;\">L\u2019IA permet d&rsquo;automatiser la collecte et l&rsquo;analyse de grandes quantit\u00e9s de donn\u00e9es financi\u00e8res, juridiques et comptables, facilitant ainsi la prise de d\u00e9cision. Le cas \u00e9tudi\u00e9 montre que l&rsquo;IA non g\u00e9n\u00e9rative a fait gagner un temps pr\u00e9cieux dans l&rsquo;analyse des documents, en r\u00e9duisant la dur\u00e9e et les efforts habituellement requis pour la phase de due diligence.<\/p>\n<p style=\"text-align: justify;\">De plus, l&rsquo;article envisage l\u2019impact futur de l\u2019IA g\u00e9n\u00e9rative, qui pourrait prendre des d\u00e9cisions complexes en temps r\u00e9el en se basant sur des sc\u00e9narios pr\u00e9dictifs et des donn\u00e9es historiques. Dans un contexte de M&amp;A, cela permettrait de mieux \u00e9valuer les synergies entre entreprises, de r\u00e9duire les biais de gestionnaires et d\u2019identifier les meilleurs moments pour conclure une transaction.<\/p>\n<p style=\"text-align: justify;\">\n<ol style=\"text-align: justify;\" start=\"2\">\n<li><strong>Les avantages strat\u00e9giques pour les entreprises<\/strong><\/li>\n<\/ol>\n<p style=\"text-align: justify;\">L\u2019int\u00e9gration de l&rsquo;IA dans le processus de M&amp;A est un atout strat\u00e9gique. Elle offre une analyse plus pr\u00e9cise et exhaustive, r\u00e9duisant les biais qui peuvent \u00e9merger lors des n\u00e9gociations. L\u2019IA est \u00e9galement capable de pr\u00e9voir les risques potentiels en analysant des donn\u00e9es historiques et en d\u00e9tectant les redondances op\u00e9rationnelles possibles apr\u00e8s la fusion.<\/p>\n<p style=\"text-align: justify;\">\n<ol style=\"text-align: justify;\" start=\"3\">\n<li><strong>Les facteurs de blocage dans les acquisitions<\/strong><\/li>\n<\/ol>\n<p style=\"text-align: justify;\">L\u2019un des apports cl\u00e9s de l\u2019\u00e9tude est la mise en lumi\u00e8re des facteurs de blocage dans une acquisition qui n\u2019a pas abouti. Dans le cas \u00e9tudi\u00e9, l\u2019acquisition n\u2019a pas \u00e9t\u00e9 finalis\u00e9e car l\u2019offre de reprise excluait l\u2019\u00e9quipe dirigeante de la soci\u00e9t\u00e9 cible. Cette d\u00e9cision illustre les d\u00e9fis sp\u00e9cifiques li\u00e9s aux aspects humains et organisationnels des M&amp;A, o\u00f9 les questions de leadership et de maintien de l\u2019emploi sont primordiales.<\/p>\n<p style=\"text-align: justify;\">\n<ol style=\"text-align: justify;\" start=\"4\">\n<li><strong>Implications de l\u2019\u00e9tude\u00a0:<\/strong><\/li>\n<\/ol>\n<ol>\n<li style=\"text-align: justify;\">Une aide dans la prise de d\u00e9cision (gain de temps et r\u00e9duction des biais) : L&rsquo;IA r\u00e9volutionne la collecte et l&rsquo;analyse de donn\u00e9es en phase de s\u00e9lection des cibles, permettant aux dirigeants de prendre des d\u00e9cisions plus rapidement. En fournissant des informations objectives bas\u00e9es sur les donn\u00e9es, l&rsquo;IA limite les biais personnels des gestionnaires, comme la surestimation de la valeur d\u2019une cible.<\/li>\n<li style=\"text-align: justify;\">Une aide dans pr\u00e9vision des risques : L&rsquo;IA aide \u00e0 anticiper les risques post-fusion en analysant des donn\u00e9es historiques, facilitant ainsi l&rsquo;int\u00e9gration des entreprises et r\u00e9duisant les redondances lors de strat\u00e9gies de croissance externe r\u00e9p\u00e9t\u00e9es, comme ceci peut \u00eatre le cas pour des grands groupes ou multinationales dans leur strat\u00e9gie d\u2019expansion \u00e0 l\u2019international.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\">\n<p style=\"text-align: justify;\">Cet article d\u00e9montre que l&rsquo;IA a le potentiel de transformer les processus de M&amp;A en am\u00e9liorant la prise de d\u00e9cision, en r\u00e9duisant les biais et en renfor\u00e7ant la gestion des risques.
