Les sp\u00e9cialistes des fusions et acquisitions appellent \u00e0 la recherche d&rsquo;informations sur le processus de fusion afin d&rsquo;aider \u00e0 comprendre la complexit\u00e9 de ces op\u00e9rations et de r\u00e9duire leur taux d&rsquo;\u00e9chec<a href=\"#_ftn2\" name=\"_ftnref2\">[2]<\/a>. Les sp\u00e9cialistes des fusions et acquisitions pr\u00e9conisent de pr\u00eater attention \u00e0 la configuration des logiques institutionnelles qui fa\u00e7onnent les d\u00e9cisions d&rsquo;une entreprise afin d&rsquo;appr\u00e9hender la complexit\u00e9 du processus de fusion.<\/p>\n<p style=\"text-align: justify;\">Les logiques institutionnelles sont des dynamiques repr\u00e9sent\u00e9es par exemple par l\u2019Etat, le march\u00e9, les professions, la famille, la religion qui fa\u00e7onnent des lignes de compr\u00e9hension, des pratiques, des d\u00e9cisions et des actions au sein des organisations<a href=\"#_ftn3\" name=\"_ftnref3\">[3]<\/a>. Les \u00e9tudes institutionnelles montrent comment des logiques sp\u00e9cifiques influencent fortement les d\u00e9cisions strat\u00e9giques et les priorit\u00e9s des organisations. Cependant, peu d&rsquo;\u00e9tudes ont combin\u00e9 empiriquement plusieurs niveaux en montrant comment les logiques peuvent influer sur la signature d\u2019une fusion.<\/p>\n<p style=\"text-align: justify;\">\u00c0 l&rsquo;aide d&rsquo;une \u00e9tude de cas longitudinale, nous analysons comment la configuration des logiques institutionnelles aux niveaux organisationnel et inter-organisationnel soutient les d\u00e9cisions strat\u00e9giques des entreprises \u00e0 mettre fin \u00e0 l&rsquo;op\u00e9ration. Le projet de fusion-acquisition en question \u00e9tait en n\u00e9gociation entre deux entreprises bas\u00e9es en r\u00e9gion Rh\u00f4ne-Alpes, op\u00e9rant dans le m\u00eame secteur. Nous d\u00e9montrons que malgr\u00e9 l&rsquo;alignement des logiques au niveau organisationnel, la multiplicit\u00e9 des logiques au niveau inter-organisationnel a conduit \u00e0 l&rsquo;\u00e9chec du deal.<\/p>\n<p style=\"text-align: justify;\">Nos r\u00e9sultats sugg\u00e8rent que les managers doivent \u00eatre conscients des processus \u00e0 long terme pr\u00e9alables \u00e0 un projet de fusion et de la mani\u00e8re dont les diverses logiques peuvent conduire \u00e0 des d\u00e9cisions divergentes entre les parties \u00e0 la fusion, ce qui peut entra\u00eener l&rsquo;\u00e9chec du deal. Notre \u00e9tude met en \u00e9vidence diff\u00e9rentes logiques au cours du processus de projet de fusion et d&rsquo;acquisition, qui peuvent \u00eatre consid\u00e9r\u00e9es comme des indicateurs impliquant les sources possibles de l\u00e9gitimit\u00e9 auxquelles les managers doivent \u00eatre attentifs. Ces indicateurs pourraient \u00eatre utiles pour r\u00e9duire le taux d&rsquo;\u00e9chec des fusions, mais aussi des transactions. La litt\u00e9rature sur les fusions et acquisitions met en \u00e9vidence deux facteurs principaux d&rsquo;\u00e9chec : Premi\u00e8rement, la publication de nouvelles informations apr\u00e8s l&rsquo;accord initial, qui peut laisser les deux parties insatisfaites ; deuxi\u00e8mement, l&rsquo;incapacit\u00e9 de l&rsquo;entreprise acqu\u00e9reuse \u00e0 financer la transaction.<\/p>\n<p style=\"text-align: justify;\">Les \u00e9tudes portant sur la p\u00e9riode pr\u00e9c\u00e9dant la fusion restent rares, car la phase pr\u00e9c\u00e9dant l&rsquo;op\u00e9ration reste une \u00e9tape secr\u00e8te et sensible, en particulier dans le cas des op\u00e9rations qui ont \u00e9chou\u00e9. Pourtant, selon les sp\u00e9cialistes des fusions et acquisitions, seule une petite partie des op\u00e9rations \u00e9valu\u00e9es par les acqu\u00e9reurs sont finalement r\u00e9alis\u00e9es, le rapport entre les op\u00e9rations initi\u00e9es et les op\u00e9rations conclues allant de 10 \u00e0 1 \u00e0 plus de 100 \u00e0 1. De futures recherches concernant l&rsquo;alignement entre la formulation de la strat\u00e9gie et l&rsquo;ex\u00e9cution de l&rsquo;op\u00e9ration en phase de n\u00e9gociation pourraient \u00e9clairer les raisons d\u2019\u00e9chec des deals dans d\u2019autres contextes, comme avec les fusions et acquisitions \u00e0 l\u2019international (<em>cross-borders m&amp;as<\/em>)<a href=\"#_ftn4\" name=\"_ftnref4\">[4]<\/a>.<\/p>\n<p style=\"text-align: justify;\">Le paysage \u00e9conomique actuel se caract\u00e9rise par des d\u00e9fis mondiaux, rapides et complexes auxquels les entreprises doivent faire face, tels que l&rsquo;adaptation \u00e0 la dynamique internationale ou la gestion des interactions climat-finance qui pourraient avoir un impact sur les fusions-acquisitions.
