Cette fusion marque-t-elle la perte d\u2019un fleuron industriel fran\u00e7ais ? Pour r\u00e9pondre \u00e0 cette question d\u2019actualit\u00e9, nous allons pr\u00e9senter les deux groupes avant de nous interroger sur l\u2019ancrage territorial de Stellantis.<\/p>\n<h2>PSA et Fiat Chrysler, deux acteurs historiques de l\u2019industrie automobile<\/h2>\n<p style=\"text-align: justify;\">Le groupe PSA, qui d\u00e9tient les marques Peugeot, Citro\u00ebn, DS Automobiles, Opel et Vauxhall, constitue l\u2019un des premiers employeurs en France : pr\u00e8s de 50 000 salari\u00e9s (sur 208 000) travaillent dans l\u2019Hexagone, notamment dans les usines de Sochaux, Mulhouse, Rennes, Poissy et Hordain. Le groupe est dirig\u00e9 par le Portugais Carlos Tavares. En 2019, l\u2019entreprise vend 3,5 millions de v\u00e9hicules, avec un chiffre d\u2019affaires de 74,7 milliards d\u2019euros et un r\u00e9sultat net de 3,2 milliards d\u2019euros. Son principal march\u00e9 est constitu\u00e9 par l\u2019Europe o\u00f9 elle r\u00e9alise 86,8 % des ventes.<\/p>\n<p style=\"text-align: justify;\">La soci\u00e9t\u00e9 Fiat Chrysler Automobiles (FCA) est issue de la fusion, en 2014, du groupe italien Fiat, qui poss\u00e8de les marques Abarth, Alfa Romeo, Fiat, Lancia et Maserati, et du groupe am\u00e9ricain Chrysler, qui d\u00e9tient les marques Chrysler, Dodge, Jeep et RAM. L\u2019entreprise emploie 192 000 salari\u00e9s et poss\u00e8de une centaine de sites de production, dont la plupart sont localis\u00e9s en Italie et en Am\u00e9rique. Le groupe est dirig\u00e9 par l\u2019Anglais Michael Manley et pr\u00e9sid\u00e9 par l\u2019Italo-Am\u00e9ricain John Elkann, l\u2019un des h\u00e9ritiers de la famille Agnelli qui a fond\u00e9 et dirig\u00e9 le groupe Fiat. En 2019, l\u2019entreprise vend 4,5 millions de v\u00e9hicules, avec un chiffre d\u2019affaires de 108,2 milliards d\u2019euros et un r\u00e9sultat net de 6,6 milliards d\u2019euros. Elle r\u00e9alise l\u2019essentiel des ventes en Am\u00e9rique du Nord (54,7 %), en Europe (25,6 %) et en Am\u00e9rique latine (12,8 %).<\/p>\n<h2 style=\"text-align: justify;\">Stellantis, un constructeur mondial marqu\u00e9 par ses origines europ\u00e9ennes<\/h2>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.lemonde.fr\/economie\/article\/2021\/01\/04\/les-actionnaires-de-psa-approuvent-la-fusion-avec-fiat-chrysler_6065152_3234.html\">La nouvelle soci\u00e9t\u00e9 Stellantis<\/a> devient le quatri\u00e8me constructeur automobile mondial, avec plus de 8 millions de v\u00e9hicules vendus.<\/p>\n<p style=\"text-align: justify;\">Les objectifs affich\u00e9s sont ambitieux : cr\u00e9er un acteur cl\u00e9 de l&rsquo;industrie automobile pour saisir les opportunit\u00e9s li\u00e9e \u00e0 la mobilit\u00e9 durable; offrir une gamme \u00e9largie de mod\u00e8les, de marques et de services ; gagner en taille et renforcer l\u2019\u00e9quilibre g\u00e9ographique ; s\u2019appuyer sur l&rsquo;organisation mondiale de la R&amp;D (recherche et d\u00e9veloppement) ; r\u00e9aliser des synergies (plus de 5 milliards d\u2019euros par an) ; construire un groupe plus stable et plus r\u00e9silient.<\/p>\n<p style=\"text-align: justify;\">Le si\u00e8ge social de Stellantis est \u00e9tabli \u00e0 Amsterdam et la soci\u00e9t\u00e9 est cot\u00e9e sur Euronext Paris, \u00e0 la Borsa Italiana \u00e0 Milan et au New York Stock Exchange. <a href=\"https:\/\/www.lesechos.fr\/industrie-services\/automobile\/a-qui-appartient-stellantis-1282368\">Ses principaux actionnaires<\/a> sont la famille Agnelli (via la holding Exor) (14,4 %), la famille Peugeot (via FFP, la soci\u00e9t\u00e9 d\u2019investissement des Etablissements Peugeot Fr\u00e8res) (7,2 %), l\u2019Etat fran\u00e7ais (via Bpifrance) (6,2 %) et le constructeur chinois Dongfeng Motor (5,6 %), qui a pr\u00e9vu de se d\u00e9sengager. Une clause sp\u00e9cifique autorise la famille Peugeot \u00e0 racheter les titres d\u00e9tenus par Dongfeng Motor et une partie des titres de Bpifrance afin que les deux holdings familiales Agnelli et Peugeot disposent d\u2019une part de capital \u00e9quivalente. La nouvelle entreprise est dirig\u00e9e par Carlos Tavares et pr\u00e9sid\u00e9e par John Elkann.<\/p>\n<p style=\"text-align: justify;\">Le groupe Stellantis affiche l\u2019ambition de devenir un leader de l\u2019industrie automobile mondiale, mais reste fortement marqu\u00e9 par ses origines europ\u00e9ennes. Cette influence se manifeste \u00e0 plusieurs niveaux : (1) la structure du capital, avec la pr\u00e9sence des familles Agnelli et Peugeot et de l\u2019Etat fran\u00e7ais, (2) l\u2019\u00e9quipe dirigeante, avec Carlos Tavares comme Pr\u00e9sident Directeur G\u00e9n\u00e9ral et John Elkann, l\u2019un des h\u00e9ritiers de la famille Agnelli, comme Pr\u00e9sident, (3) le portefeuille de marques, avec cinq marques italiennes (Abarth, Alfa Romeo, Fiat, Lancia et Maserati), trois marques fran\u00e7aises (Peugeot, Citro\u00ebn et DS Automobiles), une marque allemande (Opel) et une marque britannique (Vauxhall), (4) l\u2019importance des sites de production en France et en Italie et (5) le poids du march\u00e9 europ\u00e9en, avec plus de 4 millions de v\u00e9hicules vendus en 2019.<\/p>\n<h2 style=\"text-align: justify;\">Les effets de la crise \u00e9conomique et sanitaire sur l\u2019ancrage territorial de Stellantis<\/h2>\n<p style=\"text-align: justify;\">L\u2019analyse propos\u00e9e dans cet article montre que la soci\u00e9t\u00e9 Stellantis reste tr\u00e8s ancr\u00e9e sur le territoire fran\u00e7ais, avec les marques embl\u00e9matiques Peugeot, Citro\u00ebn et DS Automobiles, plusieurs usines de production localis\u00e9es en France, la pr\u00e9sence de la famille Peugeot et de l\u2019Etat fran\u00e7ais comme actionnaires et Carlos Tavares, l\u2019ancien Pr\u00e9sident du groupe PSA, comme Pr\u00e9sident Directeur G\u00e9n\u00e9ral. Toutefois, <a href=\"https:\/\/theconversation.com\/la-grande-disparite-des-reponses-des-multinationales-du-cac-40-a-la-crise-137503\">la crise \u00e9conomique et sanitaire<\/a> li\u00e9e \u00e0 la pand\u00e9mie du Covid-19, qui engendre une chute des ventes automobiles \u00e0 l\u2019\u00e9chelle mondiale, pourrait contraindre le groupe Stellantis \u00e0 <a href=\"https:\/\/www.usinenouvelle.com\/article\/les-defis-de-stellantis-psa-et-fca-face-a-l-epineuse-question-des-surcapacites.N1046799\">remettre en cause certains engagements<\/a>.
